Annual Returns for Irish Limited Companies – Deadlines, Purpose & Consequences
Every Irish limited company is required to submit a so-called Annual Return to the Companies Registration Office (CRO) once a year. This report confirms that the company’s details are up to date and indicates that the company is still active.
What is the Annual Return and why is it important?
An Annual Return serves to confirm to the CRO that the limited company still exists and is being properly managed. Unlike in Austria, there is no direct equivalent for this filing. The report contains key details such as the address, directors and company secretary. Should any of these details have changed, they must be updated before the Annual Return is submitted.
First Annual Return: Deadline and Submission
The first Annual Return must be submitted no later than six months after incorporation, with an additional grace period of up to 56 days. For example: if the company is incorporated on 15 March, the deadline for submitting the first Annual Return is 15 October plus 56 days.
Fines for late submission
Although the deadline is generous, late submission may result in substantial fines. If the deadline is exceeded by more than 56 days, a fine of EUR 100 is imposed. Thereafter, the fine increases by EUR 3 per day up to a maximum of EUR 1,200. Punctuality is therefore crucial to avoid high costs.
Annual Return and Financial Statements
From the second Annual Return onwards, it must be submitted together with the financial statements. The Annual Return will not be accepted without the financial statements. Therefore, the same deadlines apply to the submission of the financial statements as to the Annual Return.
