Financial Statements – Annual Accounts for Irish Limited Companies: Obligations & Deadlines

In Ireland, limited companies are subject to similar obligations regarding the publication of annual accounts as limited companies in Austria. Whilst in Austria the annual accounts are filed with the relevant commercial register court, Irish companies must publish their annual accounts with the Companies Registration Office (CRO).

Purpose of publication

The purpose of publication is to make the annual accounts available to the public. This should not be confused with the filing of the accounts with the Irish tax authorities. The submission of the annual accounts is linked to the Annual Return. The first set of annual accounts is submitted with the second Annual Return, as annual accounts are not usually available at the time of the first Annual Return (six months after incorporation).

Who is required to publish the annual accounts?

The publication requirement applies to all limited companies, regardless of whether the company is liable for tax in Ireland. This is a separate publication requirement that exists independently of tax obligations.

Operating in Austria with an Irish limited company

If a limited company operates exclusively in Austria, the Austrian annual accounts must be submitted, which reflect the company’s consolidated financial statements. However, these accounts must be converted into the English IFRS format and adapted to Irish accounting standards.

Dormant companies

If the company has not generated any turnover during the relevant accounting period, a set of accounts for dormant companies (Dormant Company Accounts, DCA) may be filed.

Consequences of non-filing

As the filing of the financial statements is linked to the Annual Return, late submission may result in fines. Failure to submit the documents may even result in the compulsory striking off of the company from the Companies Register.
